• Your access to or use of, or inability to access or use, our Services;
• Any conduct or content of any third party on or through our Services;
• Any content obtained from our Services;
• Unauthorized access, use, or alteration of your transmissions or content;
• Any food allergic reactions, dietary concerns, or health issues arising from consumption of our products;

IN NO EVENT SHALL WING SNOB'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO WING SNOB IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

The foregoing limitations of liability shall apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if Wing Snob has been advised of the possibility of such damages.

Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply in full to you depending on your state of residence.

10. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob, its owners, officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of any third-party rights, including without limitation intellectual property rights, privacy rights, or proprietary rights;
• Your violation of any applicable federal, state, or local laws or regulations;

Wing Snob reserves the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with Wing Snob's defense of such claims.

12. Governing Law and Jurisdiction

Any legal action, suit, or proceeding arising out of or relating to these Terms or your use of our Services shall be brought exclusively in the state or federal courts of competent jurisdiction located in the state of Wing Snob's principal place of business in the United States. You hereby irrevocably consent to the personal jurisdiction of such courts and waive any objection to the laying of venue of any such proceeding in such courts.

These Terms are also subject to applicable federal laws of the United States, including the Federal Trade Commission Act (15 U.S.C. § 41 et seq.), which governs consumer protection and unfair or deceptive trade practices, and any other applicable federal consumer protection regulations.

13. Dispute Resolution

13.1 Informal Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Services ("Dispute"), the parties agree to first attempt to resolve the Dispute informally by contacting Wing Snob at [email protected]. You agree to provide us with a written description of the Dispute, the relief you seek, and your contact information. Wing Snob will have thirty (30) days from receipt of your notice to attempt to resolve the Dispute informally. If the parties are unable to resolve the Dispute informally within this period, either party may proceed to binding arbitration as described below.

13.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

If the parties are unable to resolve a Dispute informally, you and Wing Snob agree that any Dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU HEREBY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

13.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or other proprietary rights. Small claims court actions, where eligible, are also exempt from the arbitration requirement.

14. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use our Services. Wing Snob reserves the right, in our sole discretion, to:

• Suspend or terminate your access to all or part of our Services, with or without notice, for any reason, including but not limited to your breach of these Terms;
• Delete, disable, or deactivate your account and all associated information and data;
• Refuse future access to our Services.

In the event of a Force Majeure Event, Wing Snob will use commercially reasonable efforts to resume performance as soon as practicable and will communicate with affected customers regarding any expected delays or service interruptions.
